1. General provisions
This public Offer defines the conditions for using the information and intermediary platform Ora Rooms (https://www.orarooms.am, the "Platform") for the Host.
The Offer is published as a public proposal under the law of the Republic of Armenia and may be accepted by electronic acceptance. For the Republic of Armenia market, the legally binding text is the Armenian (hy) version; Russian (ru) and English (en) versions are translations.
The Platform is operated by OraRooms LLC («Օրա Ռումս» ՍՊԸ) (the "Operator"). The Operator's legal details are set out in section 32 of this Offer.
This Offer governs relations between the Host and the Operator. The accommodation services contract between the Guest and the Host is concluded separately and does not replace this Offer.
2. Definitions
«Guest» means a natural or legal person registered on and/or using the Platform to search, book, or receive accommodation services. «Host» means a user who publishes an accommodation listing and offers accommodation services to the Guest, being a party to the accommodation services contract.
«Accommodation listing» means a listing of residential, hospitality, or similar space published by the Host on the Platform and related information. «Booking» means a Guest request for a specific listing and dates via the Platform that, if compliant with Host rules, forms an offer or confirmation of an accommodation services contract.
«Operator» / «Ora Rooms» means the owner of the Platform and the legal entity providing services as an information and intermediary service provider, not as owner, landlord, hotel, or accommodation provider.
«Platform» means the information and intermediary platform Ora Rooms. «Content» means materials, listings, images, descriptions, and CMS data on the Platform.
3. Subject of the agreement
The subject of the Offer is providing the Host with technological services via the Ora Rooms platform: listing publication, pricing management, bookings, payments, communication, and related functions.
Ora Rooms is not the owner, landlord, hotel, or provider of accommodation services. The accommodation services contract is concluded between the Guest and the Host under terms set by the Host and the listing.
Ora Rooms may facilitate payments, communication, and verification, but this does not change its intermediary role and does not make Ora Rooms a party to the accommodation contract.
4. Conclusion of the agreement
The agreement is deemed concluded when the Host accepts the Offer by electronic acceptance (confirmation of the stated terms, pressing a confirmation button, and/or performing an agreed action).
Acceptance is recorded in the Platform's technological system with the document version, context, and acceptance date.
After acceptance, the Host confirms having read the Offer, understanding their rights and obligations, and agreeing to them.
5. Electronic acceptance
The Host accepts the Offer during registration, booking confirmation, and/or when performing other critical actions on the Platform with mandatory confirmation of terms.
Acceptance is legally effective to the extent permitted by RA law for electronic transactions.
Ora Rooms retains an acceptance trail: user identifier, document version, context, date, IP address (if available), browser information (if available).
6. Registration
Host registration requires providing accurate, current, and complete information. The Host is responsible for the reliability and currency of account data.
Registration is not available without the Host's prior acceptance of the Offer.
Ora Rooms may refuse or suspend an account in cases of fraud, violation of law, or Platform rules.
7. Rights and obligations of the parties
The Host may publish listings, manage pricing, accept bookings, and use intermediary functions of the Platform.
The Host must provide accurate data, process bookings promptly, comply with Platform rules, and not infringe third-party rights.
Ora Rooms provides an information and intermediary platform and is not the owner, landlord, hotel, or provider of accommodation services. Relations regarding accommodation arise between the Guest and the Host.
8. Platform use rules
It is prohibited to use the Platform under another person's identity, for fraud, spam, harmful content, violation of law, or infringement of third-party rights.
Ora Rooms may moderate, block accounts, reject bookings, and remove content when necessary and in case of risk.
Moderation must not be understood as an absolute guarantee of content accuracy.
9. Listings
The Host is responsible for accuracy of listing data, photos, and availability conditions.
Ora Rooms does not guarantee absolute listing accuracy and is not liable for the Host's actions to the extent permitted by applicable law of the Republic of Armenia.
The Platform may reject, edit, or remove listings that violate rules or law.
10. Pricing
The Host sets prices, minimum stay, deposits, and surcharges in the listing.
Prices must be transparent; price changes do not affect confirmed bookings without party consent.
Ora Rooms may display prices in a selected currency; settlements follow Platform and payment partner rules.
11. Taxes and fees
The Host is solely responsible for applicable taxes and mandatory payments related to hosting activity.
Ora Rooms is not the Host's tax agent and does not provide tax advice to the extent permitted by applicable law of the Republic of Armenia.
The Platform may show informational hints without legal force of a recommendation.
10. Bookings
Bookings are made per the Host calendar, listing terms, and applicable cancellation rules.
Ora Rooms is not a party to the booking and is not liable for Host actions to the extent permitted by applicable law of the Republic of Armenia.
Booking status is recorded in the Platform system.
11. Payment
Payments are made through the Platform payment infrastructure or Platform partners, where indicated.
Prices, intermediary fees, deposits, and surcharges are presented at booking or in the listing.
Ora Rooms is not liable for technical failures of banks or payment partners to the extent permitted by applicable law of the Republic of Armenia.
12. Intermediary fees
Platform intermediary fees, commissions, and other charges are presented at booking or in the listing.
The Host must pay the total amount shown at booking; deposits follow the Host's rules.
Ora Rooms may adjust fee structures with notice as provided in the changes section to the extent permitted by applicable law of the Republic of Armenia.
15. Payouts to the Host
Host payouts are made via the Platform payment infrastructure per payout rules and schedule in the account.
Ora Rooms may withhold commissions, dispute amounts, refunds, and penalties as permitted by Platform rules and law.
The Host must provide correct bank details; delays due to incorrect details or banks are not Ora Rooms liability to the extent permitted by applicable law of the Republic of Armenia.
13. Cancellation
Cancellation follows the cancellation rules stated in the listing, at booking, and in Platform rules.
The Host may cancel a booking as provided by the applicable rules. Financial consequences follow the Host's rules.
Ora Rooms facilitates cancellation but is not a party to the booking to the extent permitted by applicable law of the Republic of Armenia.
17. Guest data
The Host receives Guest data to the extent necessary to fulfill the booking and must use it only for that purpose.
The Host must comply with RA personal data law and not share data with third parties without lawful basis.
Ora Rooms does not control the Host's further use of data to the extent permitted by applicable law of the Republic of Armenia.
18. Liability
The Host is liable for listing accuracy, accommodation conditions, and legal compliance.
The Host must provide safe and lawful accommodation and respond promptly to Guest and Platform communications.
Accommodation relations arise between Guest and Host; Ora Rooms is not a party to the accommodation contract.
19. Limitation of Ora Rooms liability
Ora Rooms' liability is limited to the extent permitted by applicable law of the Republic of Armenia.
Ora Rooms is not liable for acts of the Guest, force majeure, or acts of third parties to the extent permitted by law.
Ora Rooms does not guarantee absolute accuracy of listings, the Host's title to property, or error-free moderation or verification.
17. Content and intellectual property
The Host warrants rights to content posted on the Platform and grants the Platform a necessary license.
It is prohibited to infringe third-party rights, distribute harmful content, or violate the law.
Ora Rooms may remove content when necessary and in case of risk.
18. Personal data
Host personal data is processed in accordance with applicable law of the Republic of Armenia, Platform rules, and payment partner rules.
The Host must provide accurate data and consent to processing as required by the Platform.
Ora Rooms may share data with the Host for booking fulfillment to the extent necessary.
19. Verification
The Platform may require identity verification, contact verification, and data checks for security and fraud prevention.
The Host must cooperate with verification procedures and provide accurate information within a reasonable time.
Verification does not constitute an absolute guarantee of safety for all users.
20. Moderation
The Platform moderates content and user behaviour for security and compliance.
Ora Rooms may block accounts, remove content, and apply moderation measures when necessary and in case of risk.
Moderation is not an absolute guarantee of safety for all users.
21. Account suspension
Ora Rooms may temporarily or permanently suspend an account for violation of Platform rules, law, or fraud.
Suspension may apply until review is completed under Platform procedures.
Suspension does not release obligations under completed bookings to the extent permitted by applicable law of the Republic of Armenia.
22. Force majeure
Parties are excused from liability for failure to perform due to force majeure.
The affected party must notify the other party within a reasonable time and take steps to mitigate harm.
Ora Rooms does not guarantee uninterrupted Platform operation during force majeure to the extent permitted by applicable law of the Republic of Armenia.
23. Changes
Ora Rooms may amend the Offer by publishing an updated version on the Platform and/or in the CMS.
Users may be notified of material changes electronically or via the Platform.
A new version takes effect upon publication unless stated otherwise. Critical actions may require re-acceptance.
24. Term
The Offer takes effect upon the Host's electronic acceptance and remains in force indefinitely unless otherwise provided.
The Offer does not terminate automatically until account deactivation or termination under this section.
Individual booking contracts remain in force for the duration of the relevant booking.
25. Termination
The Host may terminate the Offer by closing the account or ceasing use of the Platform.
Ora Rooms may terminate the Offer or restrict access for rule violations, legal requirements, or risk.
Termination does not release parties from obligations already incurred to the extent permitted by applicable law of the Republic of Armenia.
26. Claims
Claims may be sent to legal@orarooms.am or support@orarooms.am with account details, booking reference (if any), and a description of the issue.
Ora Rooms will review the claim within a reasonable time and may request additional information.
Claim review does not exclude the right to seek court or other remedies to the extent permitted by applicable law of the Republic of Armenia.
27. Applicable law
The law of the Republic of Armenia applies to the Offer and use of the Platform unless expressly stated otherwise.
Consumer protection and immigration rules apply to the extent they do not conflict with mandatory RA law.
Russian and English translations are provided for convenience; the Armenian (hy) text prevails in case of discrepancy.
28. Dispute resolution
Disputes should preferably be resolved through negotiation and Ora Rooms internal claims procedures.
If no agreement is reached, disputes shall be submitted to courts of the Republic of Armenia under applicable law.
Parties shall take reasonable steps toward pre-litigation settlement unless otherwise required by law.
